Rules for using Zana and our website.

These Terms of Use govern your access to and use of Zana (the "Service"), provided by INSTANTIA IT LTD ("Instantia", "we", "us"). By using the Service, you agree to these Terms.
1. Eligibility and Accounts
- You must provide accurate information and keep your account secure.
- You are responsible for activity under your account.
- If you are using the Service on behalf of an organisation, you confirm you have authority to bind it.
2. Spaces and Collaboration
The Service lets you create and join spaces. You control who you invite. If you share a space, other members may be able to view or edit data according to their role.
3. User Content
You retain ownership of the information you submit (such as transactions, budgets, and receipts). You grant us a limited licence to host, process, and display that content to provide the Service.
4. Acceptable Use
- Do not misuse the Service, attempt unauthorised access, or disrupt it.
- Do not upload content you do not have rights to use.
- Do not use the Service for unlawful purposes.
5. No Financial Advice
The Service provides organisational tools and summaries. It does not provide financial, legal, tax, or investment advice. You are responsible for verifying information and decisions.
6. Availability and Changes
We may change, suspend, or discontinue parts of the Service. We aim to provide reasonable notice for material changes.
7. Third-Party Services
The Service may rely on third-party providers (for example, hosting, email, receipt processing). Their terms and policies may apply to their services.
8. Suspension and Termination
We may suspend or terminate your access if you breach these Terms, if we reasonably believe your use risks harm to the Service, or where required by law.
9. Intellectual Property
The Service, its software, branding, and content (excluding your user content) are owned by Instantia or its licensors. You may not copy, modify, distribute, or reverse engineer the Service except as permitted by law.
10. Disclaimers
The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we exclude all warranties and conditions not expressly set out in these Terms.
11. Liability
Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.
Subject to the above, and to the maximum extent permitted by law, we are not liable for indirect, special, or consequential losses, loss of profits, loss of business, loss of goodwill, or loss of data.
If you use the Service for business purposes, then (to the maximum extent permitted by law) our total liability for all claims arising out of or in connection with the Service is limited to the total amount you paid to us for the Service in the 12 months immediately before the event giving rise to the claim.
12. Indemnity (Business Users)
If you use the Service for business purposes, you agree to indemnify and hold Instantia harmless from claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service or your breach of these Terms.
13. Consumer Rights
If you are a consumer in the UK, you have legal rights under applicable law (including the Consumer Rights Act 2015). These Terms do not affect those rights.
14. Force Majeure
We are not responsible for delays or failures caused by events beyond our reasonable control, such as outages, internet failures, natural disasters, acts of government, or third-party service interruptions.
15. Feedback
If you provide feedback or suggestions, you grant us a perpetual, worldwide, royalty-free licence to use them without restriction or compensation.
16. Governing Law
These Terms are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction, except where you are a consumer and local law provides you with rights to bring proceedings in your local courts.
